Records Sought
Governance
The election, appointment, and decision records needed to confirm who held authority and how decisions were made.
Why we’re looking for this
Authority to act depends on valid elections, appointments, and recorded votes. These records would reconcile who held office and how each decision was actually authorized.
What it’s referenced to
- Finding: governance records do not reconcile
- Bylaws §§7.4, 7.6–7.9 (terms, elections, removal, vacancies) and §8.2 (committees)
- Meeting minutes and management certificates
What producing it would establish
A consistent chain from election/appointment to officer authority to specific decisions.
What its absence means
Gaps between what minutes, certificates, and rosters show are open reconciliation questions, not a finding of invalid action.
Specific records requested (6)
- Election files
- Vacancy and appointment records
- Officer votes
- Written consents
- Approved minutes
- Committee charters
